These Website Terms of Use govern your access to and use of the GAEA Technologies Ltd. website and the information, downloads, and resources made available through it. Please read them carefully.
1. Acceptance of these Terms
By accessing or using this website, you agree to these Website Terms of Use (the “Terms”). If you do not agree, do not use the website. If you use the website on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Scope and other agreements
These Terms apply to the public website operated by GAEA Technologies Ltd. (“GAEA,” “we,” “us,” or “our”). They do not replace any end-user licence agreement, subscription agreement, maintenance agreement, professional-services agreement, quotation, order, or other written agreement that applies to GAEA software, products, or services.
If these Terms conflict with a specific written agreement governing software, a purchase, maintenance, support, training, data services, or another service, the specific agreement controls for that subject matter.
3. Permitted use
GAEA grants you a limited, revocable, non-exclusive, and non-transferable right to access and use the website and its content for lawful personal or internal business purposes. You may print or download reasonable portions of publicly available content for those purposes, provided that you retain all copyright and proprietary notices and do not modify the content.
4. Prohibited activities
You must not:
- use the website or its content for an unlawful, fraudulent, misleading, or harmful purpose;
- copy, reproduce, republish, sell, sublicense, distribute, modify, or create derivative works from the content except as expressly permitted;
- remove copyright, trademark, attribution, or other proprietary notices;
- attempt to gain unauthorized access to accounts, systems, networks, source code, or restricted content;
- introduce malicious code or interfere with the operation, availability, or security of the website;
- use automated means to extract content or data at a volume or frequency that burdens the website, except with our written permission; or
- misrepresent your identity, affiliation, or authorization.
5. Intellectual property
The website and its content—including text, software descriptions, documentation, graphics, images, videos, demonstrations, interfaces, logos, trademarks, and downloadable materials—are owned by or licensed to GAEA and are protected by applicable intellectual-property laws. Except for the limited permission expressly granted in these Terms, no right, title, or interest is transferred to you.
GAEA, GaeaSynergy, WinLoG, WinFence, EDMS, GDMS, POLLUTE, MIGRATE, E-ASR, and related names and logos may be trademarks of GAEA or their respective owners. They may not be used without prior written permission.
6. Software and downloads
Software made available through the website is licensed, not sold. Its installation and use are governed by the applicable end-user licence agreement and any terms presented with the software or accepted during installation, registration, purchase, or download. Those terms supersede these Terms with respect to the software.
You are responsible for confirming that a download is appropriate for your systems, maintaining backups, and following applicable installation, security, and system-requirement guidance.
7. Accounts and restricted areas
Certain support resources, downloads, demonstrations, or services may be restricted to authorized customers or registered users. You are responsible for providing accurate information, protecting your credentials, and promptly notifying GAEA of suspected unauthorized access. You must not share access with anyone who is not authorized under the applicable agreement.
8. Submissions and feedback
Do not submit confidential, proprietary, or sensitive information through a general website form unless the form specifically requests it or GAEA has agreed to receive it securely. You represent that you have the right to provide any information or materials you submit.
If you voluntarily provide suggestions or feedback about the website, software, or services, GAEA may use that feedback without restriction or compensation, provided that this does not grant GAEA ownership of your confidential information or personal information.
9. Purchases and services
Prices, product descriptions, availability, maintenance terms, renewal terms, and service information displayed on the website may change and do not constitute a binding offer unless expressly stated. A purchase or service engagement is subject to GAEA’s acceptance and to the applicable quotation, order confirmation, licence, maintenance terms, or services agreement.
Taxes, currency, payment timing, delivery, cancellation, and refund terms are governed by the applicable transaction documents and mandatory law. Nothing in these Terms limits rights that cannot lawfully be waived or excluded.
10. Third-party resources
The website may link to third-party websites, services, publications, or downloads for convenience. GAEA does not control and is not responsible for third-party content, availability, security, or privacy practices. A link does not imply endorsement unless expressly stated. Your use of a third-party resource is subject to that third party’s terms and policies.
11. Privacy
GAEA’s collection, use, disclosure, retention, and protection of personal information through the website are described in our Privacy Policy. By submitting personal information, you acknowledge that it will be handled as described in that policy and as permitted or required by applicable law.
12. Website availability and security
GAEA may update, modify, suspend, restrict, or discontinue any part of the website at any time. We do not guarantee uninterrupted or error-free availability. Although GAEA takes reasonable measures to protect the website, no internet transmission or system can be guaranteed to be completely secure. You are responsible for using appropriate security controls, malware protection, and backups.
13. Disclaimer
To the maximum extent permitted by applicable law, the website and its content are provided “as is” and “as available,” without representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral. This includes implied warranties or conditions of accuracy, completeness, currency, merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement.
Website content is general information and is not engineering, environmental, geotechnical, geological, legal, regulatory, or other professional advice. You remain responsible for professional judgment, verification, regulatory compliance, and decisions made using the content. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.
14. Limitation of liability
To the maximum extent permitted by applicable law, GAEA and its directors, officers, employees, agents, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, opportunities, goodwill, data, or use, arising from or related to the website or its content, even if advised that such loss may occur.
To the maximum extent permitted by applicable law, GAEA’s aggregate liability arising from or related to the website and these Terms will not exceed CAD $100. This limitation does not apply where liability cannot lawfully be limited or excluded. Liability relating to licensed software, purchases, maintenance, or services is governed by the applicable agreement.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless GAEA and its directors, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the website, your material breach of these Terms, or your infringement of another person’s rights.
16. Suspension and termination
GAEA may restrict, suspend, or terminate your access to the website or a restricted area if we reasonably believe you have violated these Terms, created a security risk, or used the website unlawfully. Provisions that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, liability, indemnification, and governing law—will continue to apply.
17. Export compliance
You are responsible for complying with applicable Canadian and foreign export-control, economic-sanctions, and import laws when accessing, downloading, transferring, or using software, technical information, or services. You must not use or transfer them in a manner prohibited by applicable law.
18. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to any rights or remedies that cannot lawfully be waived, the courts located in Ontario will have exclusive jurisdiction over disputes arising from these Terms or the website.
19. General provisions
If any provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. GAEA’s failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without GAEA’s prior written consent. GAEA may assign these Terms as part of a reorganization, merger, acquisition, or transfer of business assets.
These Terms, together with documents expressly incorporated by reference, form the entire agreement concerning your use of the public website. They do not alter a separate written agreement between you and GAEA.
20. Changes to these Terms
GAEA may update these Terms to reflect changes to the website, our practices, or applicable law. The revised version will be posted on this page with an updated effective date. Where required by law, we will provide additional notice or obtain consent. Your continued use of the website after revised Terms take effect constitutes acceptance to the extent permitted by law.
